Terms of Service

1. The Services

MSB Control provides software that helps money services businesses manage compliance workflows — including KYC, AML monitoring, regulatory reporting, training, and program oversight. The Services are a tool to support your compliance program; they do not constitute legal, regulatory, or financial advice, and they do not replace your independent judgment or your obligations under applicable law.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. Access is provisioned through accounts issued to your organization and its authorized users.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at info@msbcontrol.com if you suspect unauthorized use.

3. Acceptable use

You agree not to misuse the Services. You will not: access the Services without authorization or attempt to circumvent access controls; interfere with or disrupt the integrity or performance of the Services; reverse engineer or copy the Services except as permitted by law; upload malicious code; or use the Services to violate any applicable law or the rights of others.

4. Customer data and compliance responsibility

You retain ownership of the data your organization submits to the Services (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide and support the Services.

You are responsible for the accuracy and legality of Customer Data and for your organization’s compliance with all laws and regulations applicable to your business, including the Bank Secrecy Act, applicable state money-transmission laws, and OFAC requirements. You are responsible for the decisions you make and the reports you file, whether or not you use the Services in doing so.

5. Fees

Where the Services are provided under a paid plan, you agree to pay the fees described in your order or subscription. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may update pricing on a prospective basis with notice.

6. Intellectual property

The Services, including all software, content, and trademarks, are owned by MSB Control or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Services.

7. Third-party services

The Services may integrate with or link to third-party services, such as payment processing, email delivery, and government filing systems. Your use of those services is governed by their own terms, and we are not responsible for them.

8. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they will meet every regulatory requirement applicable to your business.

9. Limitation of liability

To the fullest extent permitted by law, MSB Control will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MSB Control from claims, damages, and expenses arising out of your Customer Data, your use of the Services, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Services or comply with law. Upon termination, your right to use the Services ends; provisions that by their nature should survive will survive.

12. Governing law

These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-laws principles. The state and federal courts located in the District of Columbia will have exclusive jurisdiction over disputes arising from these Terms, subject to any applicable arbitration or dispute-resolution terms in your order.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
